In the statement made to the Public Disclosure Platform (KAP), it was said:

“As stated in our special disclosure dated August 19, 2025, with the aim of strengthening our partnership’s strategic position in the global aviation industry, opening new tourism markets in the Latin American region, and developing the passenger and cargo flight network between Spain and Turkey to increase the number of tourists arriving in our country and its economic contribution, the company accepted the binding offer to acquire a minority stake in Air Europa. At this stage, the transaction documentation process has been completed, and the partnership agreement and related transaction documents have been signed. Thus, the parties have moved to the stage of obtaining the necessary approvals from the relevant regulatory authorities. It is anticipated that this process will be completed within approximately 6 to 12 months. As previously stated, the transaction includes an investment of 300 million euros, mainly in the form of a capital increase. Depending on the technical and financial adjustments made during the closing phase, the minority stake to be acquired is expected to be between 25% and 27%. Should any new developments arise that could affect our investors’ decisions, the necessary information will be shared with the public.”
